Terms of Service
These terms govern your business's use of QuickHalo. Please read them before you start a trial or enter a payment method.

1. Who we are and what this covers
QuickHalo (“QuickHalo”, “we”, “us”) is a sole proprietorship registered in Ontario, Canada. We provide a software service that helps service businesses configure AI-assisted reception, appointment booking, customer support, follow-up reminders and review requests.
These terms form an agreement between QuickHalo and the business that creates an account (“you”, “your business”). By creating an account, starting a trial or using the service you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.
2. Eligibility and account responsibility
You must be at least the age of majority in your province or territory and able to enter a binding contract. QuickHalo is sold to businesses, not to consumers for personal use.
You are responsible for your account: for the accuracy of the information you provide, for keeping your password confidential, for the actions of every user you invite, and for telling us promptly if you believe your account has been accessed without authorisation.
3. Plans
QuickHalo is sold in four plans — Basic, Standard, Premium and Pro. Each plan includes the capabilities described on our pricing page at the time you subscribe, and each higher plan includes everything in the plan below it. Prices are in Canadian dollars and exclude any applicable taxes.
We may change plan contents or prices. If we change the price of a plan you are already subscribed to, we will tell you before the change applies to your next renewal, and you may cancel before that renewal if you do not accept it.
4. Free trial and payment method
Every plan begins with a one-month free trial. A valid payment method is required to start the trial. You are charged CA$0.00 at signup.
Unless you cancel before the trial ends, your subscription continues automatically and your payment method is charged for the first paid period. One free trial is available per business.
5. Launch promotion
The launch promotion applies 70% off your first three paid monthly billing periods, beginning after the free trial ends. From the fourth paid month the normal monthly price applies.
The launch promotion applies to monthly billing only. Annual plans do not receive it. The promotion is limited to one per business and may be withdrawn for new subscriptions at any time; withdrawal does not affect a discount already applied to an existing subscription.
6. Recurring billing, cancellation and payment failure
Subscriptions renew automatically — monthly or annually, depending on the billing period you choose — until cancelled. Payments are processed by Stripe; we do not receive or store your full card number.
You may cancel at any time from Settings → Billing or through the Stripe customer portal. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then. Except where required by law, payments already made are non-refundable and we do not pro-rate partial periods.
If a payment fails we will attempt to notify you and may retry the charge. If it remains unpaid we may suspend access until it is resolved, and may eventually cancel the subscription. Your configuration is retained during a suspension.
7. Acceptable use
You agree not to use QuickHalo to:
- send unsolicited bulk messages, spam, or any message the recipient has not consented to receive;
- break any law that applies to you or to the people you contact, including anti-spam, telemarketing, consumer-protection and privacy law;
- impersonate another business or person, or misrepresent who is contacting a recipient;
- send content that is unlawful, harassing, deceptive, or that infringes someone else’s rights;
- upload malware, probe or attack the service, circumvent access controls or usage limits, or attempt to reach another customer’s data;
- resell or white-label QuickHalo without our written agreement.
8. AI-generated content and its limits
QuickHalo uses third-party AI models to draft replies, summarise conversations and prepare suggested content from the information and knowledge sources you configure.
AI output can be wrong. It may be inaccurate, incomplete or inappropriate for a particular situation, and it is not professional advice of any kind — legal, medical, financial or otherwise. You are responsible for reviewing AI-assisted content and for configuring the approval and human-handoff controls the product provides in the way your business needs. Do not use QuickHalo to make decisions that require professional judgement, and do not present its output to your customers as if it were.
9. Your content and your customers
You keep ownership of the business information, knowledge sources, messages and customer records you put into QuickHalo. You grant us the licence needed to host and process that material in order to provide the service.
You are responsible for what your business publishes through QuickHalo, for having the right to use the material you upload, and for your relationship with your own customers — including responding accurately and honouring any commitment made in a conversation.
10. Messaging consent is your responsibility
Where you use QuickHalo to send email, SMS or automated calls, youare the sender in the eyes of the law and of the carriers. You are responsible for obtaining and keeping records of the consent required by Canada’s Anti-Spam Legislation (CASL) and by any other law that applies to your recipients, for honouring unsubscribe and stop requests promptly, and for identifying your business in your messages.
We may suspend messaging on your account if we receive credible complaints, if a carrier or provider requires it, or if we reasonably believe messages are being sent without consent.
11. Phone and SMS
Phone and SMS automation is a Pro capability delivered through a telecommunications provider. It requires a phone number to be provisioned and assigned to your business specifically; QuickHalo does not send from a shared number on your behalf.
Provisioning also requires carrier and regulatory registration, which is performed by third parties on their own timelines and is not guaranteed to be approved. Until that registration is complete for your business, phone and SMS features are not operational, and we do not represent otherwise.
QuickHalo is not a telephone service and must not be relied on for emergency calling. It does not support 911 or any other emergency service. Keep a conventional means of making emergency calls.
12. Third-party providers
QuickHalo is built on third-party services, including Stripe for payments, Resend for transactional email, an OpenAI-compatible provider for AI, Twilio for telephony, and Supabase and Vercel for hosting and data storage. Using QuickHalo means your data is processed by these providers as described in our Privacy Policy. We are not responsible for their acts or omissions, and their outages may affect the service.
13. Service availability and changes
We aim to keep QuickHalo available and reliable, but we do not offer a guaranteed uptime level and we do not currently publish a service-level agreement. The service may be unavailable during maintenance, provider incidents or events beyond our control.
We may add, change or remove features. If we remove a capability that is material to your plan, we will give you reasonable notice and you may cancel.
14. Intellectual property
QuickHalo, its software, design and documentation remain our property. These terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, reverse-engineer or create derivative works from the service except to the extent that restriction is unenforceable by law.
15. Suspension and termination
You may stop using QuickHalo and cancel at any time. We may suspend or terminate an account that breaches these terms, that is used unlawfully, that creates a security or deliverability risk, or whose fees remain unpaid. Where circumstances reasonably allow, we will tell you first and give you a chance to fix the problem.
After termination you may request a copy of your business data within 30 days. We may then delete it, subject to what we must retain for legal, accounting or security reasons.
16. Disclaimers
Except as expressly stated in these terms and to the fullest extent the law allows, QuickHalo is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that AI output will be accurate or suitable for your purpose. Some jurisdictions do not allow certain exclusions, in which case those exclusions do not apply to you.
17. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost or corrupted data, however caused.
To the fullest extent the law allows, our total aggregate liability arising out of or relating to QuickHalo is limited to the amount you paid us for the service in the twelve months immediately before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.
18. Indemnity
You will indemnify and hold QuickHalo harmless against claims, losses and reasonable legal costs arising from your use of the service in breach of these terms, from content your business sends through it, or from your failure to obtain the consent required to contact a recipient.
19. Changes to these terms
We may update these terms. When we do, we will change the “last updated” date above, and for material changes we will give reasonable notice before they take effect. Continuing to use QuickHalo after that means you accept the updated terms.
20. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have jurisdiction, and both parties submit to them, subject to any right you have to bring a claim in your local courts under consumer-protection law.
